Number one rule, if you did not buy it or have proof that you successfully bought a real estate NFT from us then you did not buy it’s respective land. Purchase/payment equals land acquisition. Fraudulent or trick purchases are not entertained on our channels or market space.
These Terms and Conditions govern the use of the website bprimeassets.com and the purchase of Non-Fungible Tokens (NFTs) issued by BPrime Assets Ltd that represent real-world physical assets such as land and other collectibles.
By accessing the website or purchasing any NFT issued by BPrime Assets Ltd, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
1. Definitions
For the purpose of these Terms:
NFT
A blockchain-based non-fungible token issued by BPrime Assets Ltd representing a specific physical asset or collectible.
Physical Asset
A tangible asset associated with the NFT, including but not limited to real estate land.
Buyer / Holder
Any individual or entity that purchases and holds the NFT.
Company
BPrime Assets Ltd.
Deed of Assignment
A legal document transferring ownership rights of land from BPrime Assets Ltd to the buyer.
Physical Artwork
A physical collectible artwork that may accompany certain NFTs issued by BPrime Assets Ltd.
2. Nature of the NFT
NFTs issued by BPrime Assets Ltd represent a digital certificate linked to an identifiable physical asset, including real estate land.
Ownership of the NFT signifies the buyer’s right to claim ownership of the associated asset subject to:

successful completion of the purchase transaction
-
identity verification where required
-
execution of necessary legal documentation for asset transfer.
The NFT acts as a digital proof of entitlement to the underlying asset.
3. Eligibility
To purchase NFTs from BPrime Assets Ltd, the buyer must:

be at least 18 years old
-
possess legal capacity to enter binding agreements
-
comply with all applicable laws and regulations.
BPrime Assets Ltd reserves the right to conduct identity verification and compliance checks where necessary.
4. Purchase Process
When a buyer successfully completes the purchase of an NFT through bprimeassets.com:
-
The NFT is transferred to the buyer’s blockchain wallet.
-
The blockchain records the buyer as the holder of the NFT.
-
The buyer becomes the beneficial owner of the asset represented by the NFT, subject to the completion of the required legal documentation.
All blockchain transactions are final and irreversible.
5. Ownership Rights
Once a transaction is successfully completed:

The buyer obtains full autonomy and lifetime ownership rights to the land associated with the NFT.

Ownership may be transferred or resold subject to applicable laws and these Terms and Conditions.

BPrime Assets Ltd shall not retain ownership rights after the legal transfer is completed.
6. Deed of Assignment and Legal Documentation
After purchasing the NFT, the buyer must contact BPrime Assets Ltd to finalize the legal documentation required for land ownership.
The buyer must:

arrange to sign and collect the Deed of Assignment
-
obtain the counter-signed copy from BPrime Assets Ltd
This process can be completed at the company office located at:

The executed Deed of Assignment will allow the buyer to proceed with survey registration and land documentation with the appropriate government authorities.
7. Representation by Third Parties
If the buyer cannot attend in person, the buyer may authorize a trusted third-party representative to act on their behalf.
The representative must provide:

a signed authorization letter from the buyer
-
a valid government-issued identification
-
any additional documentation reasonably requested by BPrime Assets Ltd.
8. Finalization of Sale and Transfer of Ownership
The sale and transfer of ownership of the land shall be deemed fully completed and finalized once the buyer has:
-
Executed the required legal documentation including the Deed of Assignment, and
-
Collected the counter-signed Deed of Assignment from BPrime Assets Ltd.
Upon completion of this process:
-
The transaction shall be considered a final sale.
-
Full ownership rights, control, and interest in the land shall belong exclusively to the buyer.

BPrime Assets Ltd shall no longer retain any ownership rights, claim, or legal interest in the physical land.
BPrime Assets Ltd may only access or interact with the property upon written authorization or instruction from the rightful owner, or as may be required by applicable law.
The buyer assumes full responsibility for:

survey registration
-
land registry documentation
-
statutory fees and government charges
-
development and management of the land.
9. Survey and Property Registration
The buyer is responsible for registering their survey and completing any required land registry procedures.
BPrime Assets Ltd will provide the documentation necessary to support the buyer’s registration process but shall not be responsible for government processing timelines.
10. Physical Artwork Accompaniment
Certain NFTs issued by BPrime Assets Ltd may be accompanied by a physical artwork representation of the NFT.
Where such artwork exists, the following conditions apply:
Linked Ownership
The physical artwork is permanently linked to its corresponding NFT.
No Independent Sale
The physical artwork cannot be sold, transferred, or disposed of independently from the NFT.
Mandatory Transfer with NFT
If the NFT is sold, transferred, or assigned to another buyer, the physical artwork must also be transferred to the new NFT holder.
Responsibility of the Seller
The current NFT holder is responsible for ensuring that the physical artwork is delivered to the new buyer.
Condition of Artwork
Owners are expected to maintain the artwork in reasonable condition. Damage or loss of the artwork does not invalidate the NFT ownership but may affect the collectible value.
Shipping Costs
Any shipping, insurance, or delivery costs associated with transferring the artwork to a new NFT owner shall be the responsibility of the transferring party unless otherwise agreed.
11. Blockchain and Digital Asset Risks
NFT ownership is recorded on a blockchain network. Buyers acknowledge that:

blockchain transactions are permanent and irreversible

digital wallets are controlled solely by their owners
-
loss of private keys or wallet access may result in loss of NFT access.
BPrime Assets Ltd is not responsible for wallet security or loss caused by compromised accounts or private keys.
12. Compliance with Laws
Buyers must comply with all applicable laws including those relating to:

property ownership
-
taxation
-
blockchain transactions
-
financial regulations.
13. Limitation of Liability
BPrime Assets Ltd shall not be liable for:

delays caused by government agencies
-
regulatory changes affecting blockchain or real estate
-
technical disruptions beyond the company’s control.
14. Amendments
BPrime Assets Ltd reserves the right to modify or update these Terms and Conditions at any time.
Updated terms will be published on bprimeassets.com, and continued use of the platform constitutes acceptance of the revised terms.
15. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any disputes arising under these terms shall be resolved in the courts of Lagos State, Nigeria.
