1. Introduction and Acceptance
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and BPrime Assets Limited (“BPrime”, “the Company”, “we”, “us”, or “our”), a company incorporated under the laws of the Federal Republic of Nigeria, governing your access to and use of the BPrime X platform at x.bprimeassets.com, our corporate website at bprimeassets.com, and any related services, features, content, or applications (collectively, the “Services”).
By creating an Account, accessing, or using the Services in any manner, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, Risk Disclosure & Disclaimer, and Security & Data Protection Statement, each of which is incorporated herein by reference (collectively, the “Policies”). If you do not agree to these Terms, you must not access or use the Services.
If you are accessing the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” and “User” refer to that entity.
2. Definitions
| Account | The registered profile a User creates to access the Services, authenticated via Single Sign-On (SSO) across the BPrime ecosystem. |
| BPrime Ecosystem | The suite of digital platforms and services operated by BPrime Assets Limited and its affiliates, which may share authentication infrastructure through SSO. |
| Project | A funding initiative created and managed by a User on BPrime X for the User’s own personal or business purposes. |
| Project Owner | The User who creates and administers a given Project on the Platform. |
| Payment Processor | Paystack Payments Limited, or any successor or additional licensed payment service provider engaged by BPrime. |
| Content | Any text, data, images, or other material submitted, posted, or displayed by a User on or through the Platform. |
| Prohibited Conduct | Any activity described in Section 8 (Acceptable Use) as prohibited under these Terms. |
| Applicable Law | All applicable laws, regulations, and directives of the Federal Republic of Nigeria, including the NDPA, and any regulatory guidance issued by competent authorities governing the Services. |
3. Eligibility
3.1 Minimum Age
You must be at least eighteen (18) years of age to create an Account or otherwise use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement under Nigerian law.
3.2 Identity Verification
You agree to complete such identity verification (KYC) procedures as we may require from time to time, including the provision of government-issued identification, Bank Verification Number (BVN), or National Identification Number (NIN), in order to activate or continue using certain features of the Platform. We reserve the right to suspend or restrict any Account pending satisfactory completion of verification.
3.3 Sanctions and Restricted Persons
You represent that you are not subject to any sanctions administered by the Nigerian government or any applicable international body, and that you are not located in, or a resident of, any jurisdiction where use of the Services would be unlawful.
4. Account Registration and SSO
To access the Services, you must register for an Account. Registration and authentication across the BPrime ecosystem is managed through our Single Sign-On (SSO) system, allowing a single set of credentials to be used across participating BPrime platforms.
- You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account;
- You must notify us immediately at legal@bprimeassets.com if you become aware of any unauthorised use of your Account or any other breach of security;
- You agree to provide accurate, current, and complete information during registration and to update such information as necessary;
- Because SSO credentials may grant access across multiple BPrime platforms, you acknowledge that compromise of your credentials on one platform may affect your access to others within the ecosystem, and agree to exercise appropriate care accordingly.
We reserve the right to refuse registration, suspend, or terminate any Account at our discretion, including where we reasonably suspect fraud, misuse, or a breach of these Terms, subject to Section 13 (Suspension and Termination).
5. Nature of the Platform and Services
BPrime X is a platform that enables Users to create, fund, and manage projects of their own — for example, personal savings goals, business initiatives, or other funding objectives that the User themselves owns and controls.
As at the Effective Date of these Terms, BPrime X does not facilitate, and is not intended to facilitate, investment by Users in projects created by other Users, nor does it operate as a crowdfunding, securities offering, collective investment scheme, or public investment solicitation platform. BPrime does not offer, and nothing on the Platform should be construed as, an invitation, solicitation, or recommendation to invest in any third-party project, security, or financial instrument. Should BPrime’s business model evolve to include such functionality, this will only occur following appropriate regulatory engagement, and these Terms (together with the Risk Disclosure & Disclaimer) will be updated accordingly prior to launch of such functionality.
Users retain full responsibility for the projects they create, including the accuracy of information provided, the lawful use of funds contributed to their own Project, and compliance with any tax or regulatory obligations arising from their use of the Platform.
6. Payments and Fees
6.1 Payment Processing
All payments made through the Platform are processed by our Payment Processor, Paystack Payments Limited, a licensed payment service provider. By making a payment through the Platform, you also agree to Paystack’s applicable terms of service and privacy policy. BPrime does not directly store your full card details; such information is collected and processed by Paystack in accordance with applicable card industry security standards.
6.2 Fees
We may charge fees for certain features of the Services, including transaction or platform fees, which will be disclosed to you prior to the completion of the relevant transaction. Fees are non-refundable except as expressly stated in these Terms or as required by Applicable Law.
6.3 Currency and Taxes
Unless otherwise stated, amounts on the Platform are denominated in Nigerian Naira (₦). You are solely responsible for any taxes, levies, or duties applicable to your use of the Services, including in respect of funds you contribute to or withdraw from your own Project.
6.4 Refunds and Reversals
Requests for refunds or transaction reversals will be handled in accordance with our applicable support procedures and the policies of our Payment Processor. We reserve the right to reverse or suspend transactions reasonably suspected of being fraudulent, erroneous, or in breach of these Terms.
7. User-Generated Content
You retain ownership of any Content you submit to the Platform, including Project descriptions, images, and updates. By submitting Content, you grant BPrime a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, and distribute such Content solely for the purpose of operating and providing the Services.
You represent and warrant that any Content you submit:
- Is accurate and not misleading;
- Does not infringe the intellectual property, privacy, or other rights of any third party;
- Does not violate Applicable Law or the Acceptable Use provisions in Section 8.
We reserve the right, but are not obligated, to review, moderate, or remove any Content that we reasonably believe violates these Terms or Applicable Law.
8. Acceptable Use
In using the Services, you agree that you shall not:
- Use the Platform for any unlawful purpose, including money laundering, terrorism financing, or fraud;
- Create a Project for the purpose of soliciting funds under false, misleading, or fraudulent pretences;
- Attempt to circumvent, disable, or interfere with security-related features of the Services;
- Use automated means (bots, scrapers, or similar tools) to access the Services without our prior written consent;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Upload viruses, malware, or other harmful code;
- Reverse-engineer, decompile, or attempt to derive the source code of the Platform, except to the extent permitted by Applicable Law;
- Use another User’s Account or SSO credentials without authorisation;
- Engage in any activity that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use of the Services.
Breach of this Section 8 may result in suspension or termination of your Account in accordance with Section 13, and may be reported to competent regulatory or law enforcement authorities where appropriate.
9. Intellectual Property
All intellectual property rights in the Services, including the Platform’s software, design, trademarks (including “BPrime” and “BPrime X”), logos, and content created by BPrime, are owned by or licensed to BPrime Assets Limited. Nothing in these Terms grants you any right or licence to use BPrime’s trademarks or branding without our prior written consent.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose, subject to your compliance with these Terms.
10. Third-Party Services and Links
The Services may integrate with or link to third-party services, including our Payment Processor (Paystack) and other platforms within the BPrime ecosystem accessed via SSO. We do not control and are not responsible for the content, policies, or practices of third-party services. Your use of such third-party services is subject to their respective terms and policies.
11. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
We do not warrant that the Platform will be uninterrupted, secure, or free of errors or defects, and we do not guarantee any particular outcome from your use of the Platform to fund or manage your own Project. Please refer to our Risk Disclosure & Disclaimer for further important information.
12. Limitation of Liability
To the fullest extent permitted under Applicable Law, BPrime, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Services, whether based on contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.
Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, or gross negligence, or for any liability that cannot lawfully be excluded or limited under Applicable Law. Subject to the foregoing, our aggregate liability to you arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to BPrime in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless BPrime, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your breach of these Terms; (b) your Content or Project; (c) your violation of Applicable Law; or (d) your violation of any third-party right.
14. Suspension and Termination
14.1 By You
You may close your Account at any time by contacting legal@bprimeassets.com, subject to the settlement of any outstanding obligations, including pending transactions or regulatory record-keeping requirements.
14.2 By BPrime
We may suspend or terminate your Account or access to the Services, with or without notice, where:
- You breach these Terms or any incorporated Policy;
- We reasonably suspect fraudulent, unlawful, or abusive activity;
- We are required to do so by Applicable Law or a directive of a competent authority;
- Continued provision of the Services to you would expose BPrime to legal or regulatory risk.
14.3 Effect of Termination
Upon termination, your right to access and use the Services will cease. Provisions of these Terms which by their nature should survive termination (including Sections 9, 11, 12, 14, 15, and 17) shall survive.
15. Amendments to These Terms
We may amend these Terms from time to time to reflect changes in our Services, legal or regulatory requirements, or business practices, including any future expansion of BPrime X’s functionality. We will notify you of material changes through the Platform or by email at least a reasonable period before such changes take effect. Your continued use of the Services following the effective date of any amendment constitutes your acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
16.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or the Services, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice, either party may refer the dispute to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023, before a single arbitrator agreed upon by the parties. The seat of arbitration shall be Lagos, Nigeria, and proceedings shall be conducted in the English language. Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief before a court of competent jurisdiction where necessary to prevent irreparable harm.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the incorporated Policies, constitute the entire agreement between you and BPrime regarding the Services and supersede any prior agreements or understandings.
17.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, telecommunications or internet failures, or other events of force majeure.
17.6 Notices
Any notice required under these Terms shall be delivered to legal@bprimeassets.com (for notices to BPrime) or to the email address associated with your Account (for notices to you).
